PRO MEDIA PLAYER — TERMS OF SERVICE

1. Acceptance of Terms

By creating an account or using Pro Media Player ("App," "Platform," "Service"), you agree to these Terms of Service ("Terms").

If you do not agree, you may not use the Service.

2. Description of Service

Pro Media Player is a digital media hosting and streaming platform that allows:

Artists to upload and distribute original audio content
Users to stream and interact with hosted media
Creators to manage and publish their content

Pro Media Player does not claim ownership of user-uploaded content.

3. User Accounts

To access certain features, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account
Not impersonate any person or entity

You are responsible for all activity under your account.

4. User-Generated Content

Users may upload audio files and related metadata.

By uploading content, you represent and warrant that:

You own the content or have obtained all necessary rights, licenses, and permissions
Your content does not violate any laws or third-party rights

You grant Pro Media Player a non-exclusive, worldwide, royalty-free license to:

Host
Store
Stream
Encode
Display
Distribute the content within the platform

This license exists solely for operating the Service.

You retain full ownership of your content.

5. Metadata & Content Accuracy

You agree to provide accurate metadata for all uploaded content, including:

Artist name
Track title
Featured contributors (if applicable)
Content classification (e.g., explicit content)

Providing false or misleading metadata may result in content removal or account suspension.

6. Copyright & Intellectual Property

You may not upload:

Content you do not own or control
Content that infringes copyrights, trademarks, or other rights
Content subject to exclusive third-party agreements

We reserve the right to remove infringing content and terminate repeat infringers.

7. Sampling & Third-Party Content

You represent and warrant that any samples, interpolations, or derivative elements used in your content have been fully cleared.

This includes:

Master recording rights
Composition rights
Publisher approvals

Uncleared samples are strictly prohibited.

Pro Media Player reserves the right to remove any content suspected of containing unauthorized samples.

You assume full responsibility for any claims arising from sampled or third-party content and agree to indemnify Pro Media Player accordingly.

8. DMCA Compliance

If you believe content infringes your copyright, contact:

Include:

Identification of copyrighted work
Location of infringing content
Your contact information
Statement of good faith belief
Statement under penalty of perjury
Your electronic or physical signature

We will respond in accordance with applicable law.

9. Prohibited Conduct

Users may not:

Upload unlawful or infringing content
Distribute malware or harmful code
Circumvent platform security
Harass, abuse, or impersonate others
Attempt unauthorized access to accounts or systems

10. Content Moderation

We reserve the right to:

Remove content
Suspend or terminate accounts
Investigate violations

We are not obligated to pre-screen content.

11. Termination

We may suspend or terminate accounts that violate these Terms.

Users may delete their account at any time.

12. Disclaimers

The Service is provided "as is" without warranties of any kind.

We do not guarantee uninterrupted or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law, Pro Media Player shall not be liable for:

Indirect or consequential damages
Lost profits or data
Content disputes between users

14. Indemnification

You agree to indemnify and hold harmless Pro Media Player from any claims, damages, liabilities, or expenses arising from:

Your uploaded content
Your violation of these Terms
Any infringement of third-party rights

15. Governing Law

These Terms are governed by the laws of the State of Washington, United States.

Artist Hosting Agreement *

PRO MEDIA PLAYER — ARTIST HOSTING AGREEMENT

This Agreement applies to users who upload content as creators ("Artist").

1. Ownership Representation

Artist represents and warrants that:

Artist owns all rights to uploaded content or
Has full legal authority to distribute the content

Artist further represents that:

No agreements prohibit distribution via Pro Media Player
All collaborators have granted permission
All rights are valid and enforceable

2. License to Host

Artist grants Pro Media Player a:

Non-exclusive
Worldwide
Royalty-free
Revocable license

To:

Host
Stream
Encode
Cache
Display
Distribute content within the platform

This license terminates upon content removal, except for backup and archival copies.

3. Content Responsibility

Artist is solely responsible for securing:

Master recording rights
Composition rights
Mechanical licenses (if applicable)
Performance rights registration (if applicable)
Sample clearances
Producer agreements
Featured artist permissions

Pro Media Player does not verify ownership prior to publication.

4. Sampling & Derivative Works

Artist represents and warrants that any samples, interpolations, or derivative content are fully cleared.

This includes:

Master recording rights
Underlying composition rights
Publisher permissions

Uncleared samples are strictly prohibited.

Artist assumes full legal responsibility for any claims related to sampled or derivative content.

5. Metadata Accuracy

Artist agrees to provide accurate metadata for all uploaded content, including:

Track title
Artist name
Contributors
Content classification

False or misleading metadata may result in removal or account suspension.

6. Takedown & Repeat Infringement

If copyright claims arise:

Content may be removed
Artist must resolve disputes independently

Repeat infringement may result in account termination.

7. Indemnification

Artist agrees to indemnify and hold harmless Pro Media Player from:

Copyright claims
Licensing disputes
Royalty disputes
Third-party legal claims

8. No Transfer of Ownership

Nothing in this Agreement transfers ownership of Artist's intellectual property.

9. Termination

Artist may remove content at any time.

Pro Media Player may suspend or terminate accounts for violations.

10. Monetization & Support Tiers

Pro Media Player offers listener support tiers allowing fans to financially support artists. Revenue is split as follows:

90% of each support payment is allocated to the Artist
10% is retained by Pro Media Player as a platform fee
Song and album download purchases follow the same 90/10 split
Artist is responsible for all applicable tax reporting and compliance
Payouts are processed via Stripe and subject to Stripe's terms of service

11. Collaborator Rights Approval

When uploading content that involves other rights holders (producers, featured artists, songwriters, sample rights owners), the Artist must:

Submit approval requests to all collaborators through the platform's Rights Management system
Obtain written electronic approval from each collaborator before the track is made available for streaming
Ensure all collaborators have the legal authority to grant streaming rights for their contribution

Collaborator approval grants a non-exclusive license to Pro Media Player to host and stream the track. It does not transfer ownership of any party's intellectual property. Any collaborator may revoke their approval at any time by contacting support@promediaplayer.com.

Tracks with pending or rejected collaborator approvals will be flagged and may be restricted from streaming until all approvals are obtained.

12. Acceptance

By uploading content, Artist confirms:

"I have read and agree to the Artist Hosting Agreement."
